Japanese investment firm Metaplanet adopted a revised capital allocation framework on October 5, 2026. Under the official company disclosure, the firm authorized deploying 10% to 15% of total assets into income-generating strategic investments.
The corporate plan utilizes net interest income to finance continued cryptocurrency purchases and support dividend distributions. Meanwhile, Bitcoin remains the primary treasury reserve, representing between 85% and 90% of total assets on the balance sheet.
Management structured the mechanism to bolster debt capacity and credit quality. The shift follows prior financing explorations, including when the company studied launching digital credit backed by cryptocurrency reserves alongside stablecoin operator JPYC in Japan.
Governance Questions Prompt Capital Revisions
The revised capital plan arrived amid shareholder scrutiny regarding corporate governance and ownership disclosures. On October 2, 2026, the company submitted five corrected filings through the EDINET disclosure platform to amend previously reported corporate filings.
The corrections clarified that chief executive officer Simon Gerovich does not control majority voting rights in MMX Ventures. MMX Ventures remains an institutional shareholder in Metaplanet under Japanese regulatory documentation.
I've received a number of DMs asking for my opinion on the independent directors' letter, Simon's post about it, and the corrections the company filed this morning. A few weeks ago, I said that I was done writing about #Metaplanet (although I continue to hold my shares), but I… https://t.co/B4ccFheJW6

In response, pseudonymous shareholder Bitcoin Pharaoh questioned the filing details via a public statement on X. The post called for disclosing the beneficial owners of MMX Ventures and identifying two executives who exercised 18.8 million shares.
Capital dilution had already triggered board interventions earlier in the quarter. In September 2026, management cut 131 million shares from the Series 10 executive stock option pool following widespread investor pushback.
The conversion adjustment lowered potential issuance from 319.46 million to 188.19 million total shares. Gerovich reported that the decision extinguished over $220 million in warrant value while increasing fully diluted Bitcoin per share by 8.8%.
Equity Movement and Persistent mNAV Discount
Metaplanet shares climbed more than 5.6% across the previous five trading sessions. Despite the short-term advance, the stock preserves an approximate 26% year-to-date decline based on price metrics reported by Yahoo Finance.
Valuation metrics show the market-to-Bitcoin net asset value (mNAV) stood at 0.80x at market close on October 5, 2026. The ratio initially dropped beneath parity on October 14, 2025.
An mNAV multiple below 1 indicates equity shares trade at a discount relative to corporate Bitcoin holdings. This discount limits the company’s ability to issue accretive equity for purchasing additional reserve assets.
Market participants await subsequent quarterly filings to verify whether income-generating investments can close the equity valuation discount.
